Relap Partner Terms and conditions

1. TERMS AND DEFINITIONS
Relap Term – means this document available at https://relap.io/privacy/terms-for-nonresidents and integrated in the Offer and the Agreement.
Offer means the Company’s offer to enter into a service agreement between the Company and the Partner on the terms set out in the Offer available at https://target.my.com/partners/doc/offer-for-nonresidents.
Agreement means an agreement entered into on the terms of the Offer at the time of acceptance of the Offer by the Partner.
Company means MGL MY.COM (CYPRUS) LIMITED, registered address: 28 Oktovriou, 365 VASHIOTIS SEAFRONT, office 402 Neapoli, 3107, Limassol, Cyprus.
Partner means a legally capable individual, corporate entity or individual entrepreneur who is the owner, administrator and/or other authorized representative with lawful rights to administer the Partner’s Platform and/or place a Widget on such Platforms (under relevant agreement) and enters into the Agreement by accepting the Offer
Parties mean the Company and the Partner.
Widget means a software launched by the Partner by using the Relap Code on the Partner’s Platform, which can display an Advertising Unit, Recommendation Unit, Promotion Unit and/or Exchange Unit, depending on the Widget settings set by the Company or the Partner.
Advertising Unit means one or more Widget units containing Advertising Materials.
Recommendation Unit means one or more Widget units containing Recommendation Materials.
Promo Unit means one or more Widget units containing Promotion Materials.
Exchange Unit means one or more Widget units containing Exchange Materials.
Units collectively mean the Advertising Unit, Recommendation Unit, Promotion Unit and Exchange Unit or any combination thereof, as the case may be.
Material(s) collectively means the Advertising Material, Recommendation Material, Promotion Material and Exchange Material or any of them, as the case may be.
Advertising Materia means any material containing advertising information and a hyperlink to the Advertiser’s/Company’s advertisement placed by the Company through Relap in the Advertising Unit, including, but not limited to, upon the Advertiser’s order.
Recommendation Material means any material containing information and a hyperlink to the Partner Platform content and selected by Relap algorithms.
Promotion Material means any material containing information and a hyperlink to some content chosen by the Partner independently using Relap functionality.
Exchange Material means any material containing information and a hyperlink to the Partner Platform content hosted on another Platform of the Partner and selected by Relap algorithms.
Display means any display/placement of material on a certain Partner’s Platform.
Click means clicking the link contained in the Advertising Material.
User means any individual who is the user of the Partner’s Platforms, regardless of the device used or registration.
Partner’s Platform means a website, application, mobile website, mobile application or other media, wherein the administration rights and/or the rights to place materials, including, but not limited to advertising materials, lawfully belong to the Partner (including, under the Partner’s relevant agreements for Widget placement) and available to the Users for viewing and/or interaction through the Users’ end devices.
Advertiser means a person who enters with the Company into an agreement for Advertising Materials placement through Relap.
Services means the Partner’s services under the Agreement.
Reporting Period means one (1) month. Provided that the first Reporting Period shall be from the date of the Agreement to the end of the first full calendar month. If the Agreement is terminated for any reason whatsoever, the last Reporting Period shall be from the end of the last full calendar month to the termination date thereof.
Relap means a recommendation system available at https://relap.io/ which selects and recommends content on the Internet. The Partner installs a Widget on the Platforms which helps to select and display relevant Materials, including Advertising Materials to the User. The Partner customizes the Widget content independently subject to the provisions hereof. Relap functionality may be used subject to the requirements set out in Section 2 of these Relap Terms.
Relap Code means a program code intended for installation on the Partner’s Platform, which is used to place the Widget.
Relap Statistics means Relap Advertising Statistics and Relap Information Statistics.
Relap Advertising Statistics means data on the volumes, parameters, the Partner’s remuneration and other data generated by Relap as part of placement of Advertising Materials by the Company.
Relap Information Statistics means data on the volumes, parameters and other data generated by Relap as part of placement of Recommendation Materials, Promotion Materials and Exchange Materials.
Relap Partner Account means the Partner’s account in Relap, which specifies information about the Parties mutual obligations under the Relap Terms, allowing the Partner to use Relap functionality and access Relap Statistics data in real time. The Partner may access the Relap Partner Account by entering its login and password independently set by the Partner upon registration in the Relap user interface.
Other terms, which are not defined herein, shall be interpreted in accordance with the Offer, business practices and the applicable laws.
2. TERMS OF USE (SERVICE)
2.1. The Partner may start using Relap and the services set out in the Offer only when it completes the following steps:
2.1.1. the Partner gets registered in Relap;
2.1.2. The connection of the Partner’s Platform to Relap, including confirmation of the Partner’s Platform in the Relap Partner Account is finished.
2.1.3. the Partner installs the Relap Code;
2.1.4. the Company verifies the Partner’s Platform.
2.2. The terms and procedures of service provision are set out by the Company through the available Relap functionality. At the same time the Parties specifically agreed that the interaction defined by this clause equals to the one performed in written form, and the results of such interaction are displayed in the Relap Partner Account. By using Relap, the Partner agrees with the terms of data processing set out in the Relap Privacy Policy available at https://relap.io/privacy/terms-for-nonresidents.
2.3. The Partner places the Widget by installing the Relap Code on the Partner’s Platform. Relap uses the Relap Code to define the type of Material and record the Relap Statistics.
The Partner shall ensure that other codes or techniques do not interfere with the Relap Code operation or change the Widget and Materials included in the Units placed on the Partner’s Platforms through Relap.
The Partner sets up the Widget in Relap in accordance with the functionality available by Relap.
2.4. Each Partner’s Platform will be verified by the Company. The Company may reject any Partner’s Platform for any reason at its sole discretion or revoke a previously issued approval if the Company, in its sole discretion, finds that the Partner’s Platform:
2.4.1. is no longer in compliance with the terms of the Agreement;
2.4.2. has been substantially modified since its approval or no longer meets the Company’s standards;
2.4.3. contains the Prohibited Content or is related to the Prohibited Activity (as defined below).
2.5. The Company provides the Partner with access to the Relap Partner Account for the purposes specified in section 2.3. of the Relap Terms.
2.6. The Company grants the Partner the right to use the Relap Code solely for the purpose of the Service provision within the period of the Agreement. The Partner may not review, modify, change or edit the Relap Code or perform other actions with the Relap Code, or create derivative software products (objects) by using/based on Relap.
2.7. The Partner shall:
2.7.1. place Advertising Materials in accordance with the provisions hereof;
2.7.2. install and run the Relap Code on the Partner’s Platform in accordance with the provisions hereof;
2.7.3. The Partner shall use all commercially reasonable efforts to ensure that the Partner’s Platforms are free of content which: (a) violates any applicable laws, rules or regulations, (b) promotes violence, use of weapons or prohibited items or activities (such as hate crime, file-sharing websites or websites which violate copyright laws, etc.), © infringes any intellectual property rights or other patent or privacy rights of any third party, or (d) is defamatory, libellous, false, pornographic or erotic (the above content is collectively referred to as «Prohibited Content»);
2.7.4. publish on the Partner’s Platform a privacy policy that fully complies with the applicable law and make it available to the Platform users/visitors.
2.7.5. The Partner instructs the Company to process data, including the advertising identifiers of visitors/users of the Partner’s Platforms, provided for the purpose of Displaying Advertising Materials on the Partner’s Platform(s), and to ensure, in accordance with the requirements of applicable law, legal grounds for the provision by the Partner to the Company and processing by the Company of the details of users/visitors of the Partner’s Platform for the purposes of and to the extent necessary for the performance of the Agreement.
2.7.6. provide the Company, within five (5) business days from the date of the request, documents evidencing that the Platform belongs to the Partner or that there are other legal grounds that allow the Partner to place the Materials, including, but not limited to, Advertising Materials, on the Platform.
2.7.7. not interfere in the process of placing Advertising Materials, including placing on the Partner’s Platforms of any information that may affect the perception of Advertising Materials by the visitors/users of the Partner’s Platform, or calls to click on the Advertising Materials.
2.8. The Partner agrees not to make or authorize any third parties to make Displays, Clicks or other actions (including, but not limited to views or clicks) in relation to the Materials placed in Relap in the following ways (collectively, the «Prohibited Activities»): (a) offer any incentives, (b) use any automated techniques, including spiders (global search programs), scripts or other robot agents, © automatic creation of pages or interception of the end user’s browser, (d) automatic updates of the Materials (other than those triggered by page update by the end user or the settings of the Widget’s Advertising Unit in Relap), (e) use any other method intended for deceptive, false or artificial increase in the number of Displays, clicks or other actions, including paid actions. In addition, if any of the Partner’s Platforms is an application (including an application extension or plug-in), the following will also constitute Prohibited Activities: (i) substantial rewriting of placed Materials on a third-party website through such application, and (ii) any rearrangement of the content on a third party website through such application.
2.8.1. The Partner acknowledges and agrees that it will not be paid the entire amount of the remuneration for a reporting period in which the Partner is found to involve in the Prohibited Activity or place the Prohibited Content on the Partner’s Platform.
2.8.2. Placement of Advertising Materials shall be subject to the following rules:
(a) it is prohibited to place Relap Advertising Materials on webpages which contain more advertising materials than publisher content, or on webpages without any content, or on webpages which only contain embedded content from other websites without additional meaningful information.
(b) Relap Advertising Materials shall not be placed too close to the content as it may lead to accidental clicks.
(c) it is prohibited to overlap Relap Advertising Materials with other webpage elements, including other advertising materials.
2.9. The Partner reserves the right to suspend or terminate placement of Widgets if the Partner deems it necessary to prevent errors or exclude or limit the Partner ’s liability, or terminate or prevent a breach of the Agreement.
2.10. The Company shall:
2.10.1. give the Partner an access to Relap through the Relap Partner Account;
2.10.2. ensure the availability and functioning of Relap;
2.10.3. pay for the Services in accordance with the provisions of the Agreement. For the avoidance of doubt, if the Partner is a resident of Cyprus, then the payment for the Services is subject to VAT 19%.
2.11. The Company reserves the right to suspend or terminate the provision of Advertising Materials to any of the Partner’s Platforms containing the Prohibited Content or involving in any suspicious activity, including any Prohibited Activity, or disable any Unit or stop the Display of certain Material if the Company receives third party complaints.
2.12. The Company may send messages to the Partner for the purposes of polls or surveys of Relap quality or the quality of the Partner’s interaction with Relap, to the e-mail provided by the Partner during the registration or subsequently.
2.13. The Company may, at its sole discretion, suspend the accrual and payment of the remuneration to the Partner if the Partner fails/violates the Relap Terms, including, but not limited to, section 2. and it will not constitute a violation of the Relap Terms and/or the Offer by the Company. The Company, therefore, will not bear any liability for the consequences specified in this section. The Company may resume to accrue and pay the remuneration to the Partner if the Partner remedies such violations.
3. WARRANTIES AND REPRESENTATIONS. DISCLAIMER OF WARRANTIES
3.1. Mutual representations and warranties. Each Party represents and warrants to the other party that: (a) it has all the rights and powers to execute and perform the Agreement, (b) the execution of the Agreement by such a party and the performance of its obligations and duties thereunder does not and will not violate any other agreements to which it is a party, and © it will comply with all requirements of the applicable law in performing its obligations and exercising its rights under the Agreement.
3.2. Further warranties of the Partner.
3.2.1. The Partner warrants that: (a) it has all rights, permits and authority to post Materials on the Partner’s Platforms (excluding Advertising Materials), and (b) it will not intentionally include and will use any reasonable efforts to prevent any Prohibited Content from being published on the Partner Platforms.
3.3. Further warranties of the Company. The Company warrants that it enters into agreements with Advertisers on the terms and conditions under which the Advertiser shall provide only those Advertising Materials that comply with the requirements of applicable laws and regulations.
3.4. Disclaimer of warranties. RELAP AND ANY CONTENT AVAILABLE THROUGH THE SYSTEM (INCLUDING, AMONG OTHER THINGS, THE RELAP CODE AND THE MATERIALS) SHALL BE PROVIDED «AS IS» AND «AS AVAILABLE». THE COMPANY DOES NOT WARRANT THAT RELAP WILL ALWAYS BE AVAILABLE, OPERATE WITHOUT INTERRUPTIONS OR FUNCTION WITHOUT ERRORS. 3.5. The Partner shall be fully liable for the confidentiality of login and password used to access the Relap Partner Account and for any losses resulting from any unauthorized use of its password and/or access channel. In addition, the Relap Partner Account may be used exclusively by the Partner’s employees and/or third parties on behalf of the Partner. The Partner acknowledges and agrees that all actions performed in the Relap Partner Account are deemed to be performed by the Partner. The Partner is responsible for the actions/inaction of persons who have got an access to the Relap Partner Account.
3.6. The Partner shall provide the Users with all the required information about cookies and the use by the Company of the data obtained by using cookies, and warrants to receive the Users’ consent to the use of such cookies and the use by the Company of the data obtained by using cookies.
The Partner also warrants that the placement or use of cookies for the purposes described herein does not violate the laws applicable to its relations with the Users, or the Partner has taken all the efforts required by law to enable the installation of cookies and the use of the data obtained by using cookies.
4. INDEMNIFICATION; LIMITATION OF LIABILITY
4.1. Partner’s Obligation. The Partner shall indemnify, defend and hold harmless, the Company from and against any claims, demands, suits or proceedings («Claims») brought against the Company by a third party arising from: (a) any Prohibited Content appearing on the Partner’s Platform excluding user-generated content, (b) any Prohibited Activity engaged in or authorized by the Partner, © a breach by the Partner of any Partner’s covenants, representations or warranties contained herein. The Partner shall compensate the Company for any damages finally awarded against the Company and reasonable costs and expenses (including reasonable attorneys’ fees).
4.2. Company’s Obligation. The Company shall indemnify, defend and hold harmless, the Partner from and against any Claims brought against the Partner by a third party arising from a breach by the Company representation or warranty contained herein. The Company shall compensate the Partner for any damages finally awarded against the Partner and reasonable costs and expenses (including reasonable attorneys’ fees).
4.3. Indemnification procedure. The obligations of each party (the «Indemnitor») under the Agreement to defend, indemnify and hold harmless the other party (the «Indemnitee») shall be subject to the following: (a) the Indemnitee shall provide the Indemnitor with prompt notice of the claim giving rise to such obligation; provided, however, that any failure or delay in giving such notice shall only relieve the Indemnitor of its obligation to defend, indemnify and hold the Indemnitee harmless to the extent it reasonably demonstrates that its defense or settlement of the claim or suit was adversely affected thereby; (b) the Indemnitor shall have sole control of the defense and of all negotiations for settlement of such claim or suit; provided, however, that the Indemnitor shall not settle any claim unless such settlement completely and forever releases the Indemnitee from all liability with respect to such claim or unless the Indemnitee consents to such settlement in writing (which consent shall not be unreasonably withheld); and © the Indemnitee shall cooperate with the Indemnitor in the defense or settlement of any such claim or suit; provided, however, that the Indemnitee shall be reimbursed for all reasonable out-of-pocket expenses incurred in providing any cooperation requested by the Indemnitor. Subject to clause (b) above, the Indemnitee may participate in the defense of any claim or suit in which the Indemnitee is involved at its own expense.
4.4. EXCEPT FOR ANY ACTS OF FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT, IN NO EVENT WILL: EITHER PARTY BE LIABLE TO THE OTHER FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF REVENUE, LOSS OF GOODWILL, ANY INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE AGREEMENT REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF SUCH PARTY HAS BEEN ADVISED OR IS OTHERWISE AWARE OF THE POSSIBILITY OF SUCH DAMAGES; EITHER PARTY’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL IN NO EVENT EXCEED 10 (TEN) % OF THE AMOUNT OF REMUNERATION PAID BY THE COMPANY TO THE PARTNER UNDER THE AGREEMENT. MULTIPLE CLAIMS WILL NOT EXPAND THIS LIMITATION. THIS SECTION WILL BE GIVEN FULL EFFECT EVEN IF ANY REMEDY SPECIFIED IN THE AGREEMENT IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
4.5. The Partner acknowledges and agrees that the Company is liable only for such materials that are identified as Advertising Materials in accordance with the Terms. If other Widget materials fail to comply with the requirements of applicable laws, the Partner will be independently liable for such materials, including, but not limited to, for the compliance of the materials with the requirements of applicable laws.
5. CONFIDENTIALITY
Confidential Information of either Party shall mean any other information designated in writing, or identified orally at time of disclosure, by the disclosing party as «confidential» or «proprietary.» Except as otherwise expressly permitted under these Terms, either Party will not disclose any Confidential Information to third parties. Either Party will take reasonable measures to protect the confidentiality of, and to avoid disclosure and unauthorized use of, the Confidential Information, including but not limited to limiting the disclosure of such Confidential Information to its employees and independent contractors with a need to know to perform its obligations under these Terms and who have been advised of the confidential nature thereof, and have agreed not to disclose or use such Confidential Information except as permitted by these Terms. Either Party will immediately notify the other in the event of any unauthorized or suspected use or disclosure of the Confidential Information. Notwithstanding the foregoing, neither Party shall have obligations hereunder for any information which is already known to the receiving Party prior to disclosure by the disclosing Party; publicly available through no fault of either Party; lawfully and rightfully disclosed to the receiving Party by a third party under no confidentiality obligation to the disclosing Party; or is independently developed by the Party without reference to Confidential Information. Either Party may disclose Confidential Information if and to the extent it is required by any securities exchange or Governmental Authority to which any Party is subject. If receiving Party or any of its representatives is required by applicable law to disclose any Confidential Information, receiving Party shall, prior to such disclosure, notify the disclosing Party of such requirements so that the disclosing Party may seek, at its sole cost and expense, a protective order or other remedy, and receiving Party shall reasonably assist the disclosing Party therewith. If receiving Party remains legally compelled to make such disclosure, it shall (a) only disclose that portion of the Confidential Information that, in the opinion of its legal counsel, receiving Party is required to disclose, and (b) use commercially reasonable efforts to ensure that such Confidential Information is afforded confidential treatment. Statistics shall be the Confidential information.
6. MISCELLANEOUS
6.1. No Waiver. Failure or delay by the Company in exercising or enforcing any right or remedy it has under the Agreement or at law shall not operate as a waiver of that or any other right or remedy, and shall not preclude or restrict any further exercise or enforcement by the Company of that or any other right or remedy.
6.2. Relationship of the Parties. The Parties are independent contractors, and nothing contained in the Agreement shall be deemed or construed to create an agency, joint venture, partnership, fiduciary or other similar relationship between the parties. There are no intended third party beneficiaries under the Agreement.
6.3. Force Majeure. Neither party will be liable for failure or delay in performing its obligations due to causes beyond its reasonable control, including without limitation acts of God, terrorism, war, riots, acts of government, fire, flood, earthquake, electrical outages, failure of network connections, failure of telecommunications, failure of mobile service providers, or Internet service provider disruptions (including without limitation denial of service attacks).
6.4. Interpretations. Headings and captions are for convenience only and are not to be used in the interpretation of the Agreement.
